2. Description of Platform (SaaS / Analytical Software)

Nivaarth operates strictly as a Software-as-a-Service (SaaS) and quantitative market analytics provider:

• The Platform ingests and aggregates publicly available market data, corporate filings, technical metrics, and broker API data feeds (e.g., Fyers API).
• The Platform applies mathematical formulas, statistical ratios, and algorithmic rules to evaluate securities (e.g., Valuation Score, Fundamental Matrix, Momentum Diagnostics).
• You acknowledge that Nivaarth does not manage funds, execute trades on behalf of users, or provide personalized financial planning.

3. No Investment Advice & No Fiduciary Duty

You explicitly recognize and agree that:

• No content, analytical score, visual chart, or scanner output constitutes a stock "tip", target price, or personalized investment recommendation.
• No fiduciary relationship (financial advisor-client relationship) is created between you and Nivaarth Technologies or its developers by virtue of your access to the Platform.
• You bear the sole responsibility for evaluating the risks and merits associated with your financial choices. You are strongly advised to consult an independent SEBI-registered Investment Adviser or financial professional before executing any trading decisions.

4. No Assured Returns & Capital Risk Acknowledgment

Trading and investing in equities, derivatives (F&O), commodities, and mutual funds involves substantial financial risk, including the possible loss of principal capital. Past performance of mathematical algorithms, historical backtests, or technical scores is not indicative of future market outcomes. Nivaarth makes no guarantees, representations, or warranties regarding profitability, capital preservation, or accuracy of data feeds.

5. Third-Party Data & Broker API Latency

While Nivaarth strives to provide sub-second low-latency market updates, market quotes and tick data are sourced from exchange feeds and third-party broker APIs. Nivaarth is not responsible for data errors, feed interruptions, packet loss, exchange downtimes, or communication delays beyond our reasonable control.

6. User Responsibilities & Acceptable Use

When using the Platform, you agree not to:

• Reverse engineer, decompile, scrape, or extract proprietary algorithmic scoring formulas or source code.
• Use the platform to redistribute or commercially resell raw market data feeds without explicit authorization.
• Misrepresent Nivaarth's quantitative scores as certified SEBI financial advice to third parties or on public social media channels.

7. Limitation of Liability

To the maximum extent permitted by Indian law, Nivaarth Technologies, its developers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including trading losses, lost profits, capital drawdown, loss of data, or operational downtime resulting from your use of or inability to use the Platform.

8. Intellectual Property

All platform designs, logos, software algorithms, UI components, graphics, trademarks, and domain names (including "Nivaarth" and "NV Score") are the exclusive intellectual property of Nivaarth Technologies and are protected under Indian intellectual property laws.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to your use of Nivaarth shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
